Varex Imaging closes $276m PerkinElmer medical imaging acquisition

Varex Imaging (NSDQ:VREX) said today it closed its $276 million acquisition of PerkinElmer Inc.‘s (NYSE:PKI) medical imaging business. The 280-worker PerkinElmer segment is an OEM business that makes digital flat panel X-ray detectors for industrial, medical, dental and veterinary X-ray imaging systems. Varex financed the buyout of the Santa Clara, Calif.-based operation by expanding its credit line to $600 million, using $207 million to repay existing debt and $286 million for the acquisition and related credit facility fees. “The sale of Medical Imaging supports our strategy of redirecting our investments towards accelerating growth in key markets,” PerkinElmer CEO &chair Robert Friel said in a press release. Salt Lake City, Utah.-based Varex Imaging said it expects the acquisition to add approximately $140 million in annual sales and that it will be “transformative” to the company’s digital detector operations. MRI provides considerable advantages for imaging of patients with peritoneal tumor. Its inherently superior contrast resolution compared with computed tomography allows MRI to more accurately depict small peritoneal tumors that are often missed on other imaging tests. Combining different contrast mechanisms, including diffusion-weighted MRI and gadolinium-enhanced MRI, provides a powerful tool for preoperative and surveillance imaging in patients being considered for cytoreductive surgery and heated intraperitoneal chemotherapy.

A 27-year-old man developed abdominal pain, weakness, and diarrhea 90 days after a motor vehicle collision. Presenting laboratory test results showed hypocalcemia (7.2 mg/dL; range, 8.6 –10.3 mg/dL) and hypoalbuminemia (1.8 g/dL; range, 3.5–4.9 g/dL). Computed tomography (CT) demonstrated a 20.1 × 10.3 × 5.5–cm lymphocele within the right midabdomen (Fig 1). Aspiration yielded fluid containing 3,150 mg/dL triglycerides. Esophagogastroduodenoscopy showed chyle in the duode num. Intranodal lymphangiography demonstrated leakage of ethiodized oil into the lymphocele (Fig 2).
